Transactional ParalegalVAUSA
We are seeking a highly organized and adaptable Transactional Paralegal with proven experience in real estate, probate, estate planning, municipal, and corporate law. This role involves supporting attorneys on a diverse range of transactional matters, including entity formation, contract review, estate planning documentation, and probate administration.
This is a fast-paced, high-demand environment where the ideal candidate must be readily available during normal business hours, able to prioritize shifting responsibilities, and work with urgency and accuracy under tight timelines.
You will report directly to a principled and intuitive attorney who thrives on high-quality judgment, values supportive collaboration, and expects proactive engagement. As such, the successful candidate will need to be both responsive and independent, balancing sharp analytical skills with a service-oriented mindset. Strong attention to detail, excellent client communication, and the ability to anticipate needs will be key to success in this role.
Real Estate Transactions:
•Assist in drafting and reviewing purchase and sale agreements, leases,
easements, and closing documents.
•Coordinate real estate closings, prepare closing checklists, and manage post-
closing follow-up.
•Order and review title commitments, surveys, and other due diligence materials.
•Communicate with title companies, lenders, and clients throughout the
transaction process.
Probate & Estate Planning:
•Prepare probate filings including petitions, notices, inventories, and final
accountings.
•Manage probate case timelines and deadlines, including court filings and
required notices.
•Draft estate planning documents such as wills, trusts, powers of attorney, and
healthcare directives.
•Maintain accurate records of client documents and track execution and
notarization processes.
Municipal:
•Assist in the preparation and review of ordinances, resolutions, contracts and
other legal documents.
•Conduct legal research on municipal, state, and federal laws and regulations.
•Assist with the review and response to public records requests.
•Support attorneys in planning and zoning matters and council, board and
committee meetings.
•Attend municipal meetings as needed.
Corporate Law:
•Form and maintain business entities, including corporations, LLCs, and
partnerships.
•Draft and maintain corporate records such as bylaws, operating agreements,
resolutions, and meeting minutes.
•File annual reports, foreign qualifications, and other required corporate
compliance documents.
•Assist in membership interest and share sales, including preparation of all related
Documents.
General Transactional Support:
•Prepare and review various agreements including NDAs, service agreements,
and vendor contracts.
•Maintain organized legal files and contract management systems.
•Conduct legal research and prepare summaries or memoranda as needed.
•Coordinate signatures and handle document execution, notarization, and
delivery.
Minimum 3–5 years of paralegal experience with demonstrated
experience in real estate, probate, estate planning, and corporate transactional
work.
Skills & Competencies:
•Exceptional attention to detail and organizational skills.
•Proficiency with Microsoft Office Suite, G-Suite and legal practice
management software (e.g., Clio, PracticePanther, or similar).
•Ability to manage multiple complex projects independently and meet
deadlines.
•Strong written and verbal communication skills.
•Familiarity with local court rules and filing procedures for probate cases.
Job Preferences- Associate’s or Bachelor’s degree or Paralegal Certificate from an ABA-approved program
Equipment Provided- Laptop, docking station with screens, and a cellphone. Also included is the full suite of practice software (Google for business, Outlook, Clio, etc.)
