Republican Jobs is leading the search for a General Counsel on behalf of a nationwide association based in Central Texas. This role serves as the chief legal advisor to executive leadership and the board, ensuring compliance with federal, state, and local regulations while guiding nonprofit governance and entity structuring. We're looking for someone with 8-15 years of experience as a General Counsel. The ideal candidate will have extensive knowledge in corporate law, contract drafting and review, and legal research. This role requires a strong background in IRS regulations and non-profit management. The successful applicant will provide expert legal guidance and ensure compliance with all relevant laws and regulations.

• Serve as lead legal advisor to executive leadership and board.
• Draft, review, and negotiate complex contracts and legal agreements.
• Oversee legal compliance with federal, state, and local regulations.
• Provide legal guidance on nonprofit governance and entity structuring.
• Lead legal efforts during mergers, acquisitions, or organizational restructuring.
• Monitor legislation and assess its impact on organizational operations.
• Collaborate with external counsel for specialized legal representation.

• Juris Doctor (JD) from an accredited U.S. law school.
• Minimum 7 years of legal experience in relevant practice areas.
• Proficiency in nonprofit law, IRS compliance, and Form 990s.
• Strong negotiation and contract review skills across business operations.
• Ability to simplify legal concepts for non-legal stakeholders.
• Experience advising executive teams and governing boards directly.
• Excellent written, verbal, and interpersonal communication skills required.
